Say-on-pay: Final Rules and Impact on 280G Excise Tax Reimbursements
The Dodd-Frank Act amended the Securities Exchange Act of 1934 by adding, among other things, Section 14A. Section 14A, commonly referred to as Say-On-Pay, requires specific disclosure and non-binding advisory votes with regard to executive compensation and golden parachute compensation of named executive officers. CEO Compensation Elasticity
Kevin Hallock of Cornell University reports on a paper he co-wrote with Judit Torok of the Conference Board in 2010. The study investigated differences in CEO total compensation for 2300 publicly traded organizations. Mr. Hallock reports the median CEO total compensation at the smallest 10 percent of firms, is $878,000. Read Full Article
The promotional guidelines 2010 Survey surveyed 936 WorldatWork members regarding their promotional policies and practices. Nearly half (44 percent) of those surveyed reported establishing a separate promotion budget, 24 percent reported included promotions in the annual merit budget planning process and another 22 percent reported funding based on vacancy savings. The Dodd-Frank Wall Street Reform and Consumer Protection Act, signed into law by President Obama in 2010, brings transforming changes to the laws and rules that govern national securities. While HR professionals will feel the indirect effects of this sweeping legislation in numerous ways, the legislation contains a number of specific changes to executive compensation requirements in publicly listed companies.
